Website Services Agreement

The agreement covering website design and development, including exactly what starts the 3-business-day build window.

Project scope

This Website Services Agreement governs website design and development services provided by [LEGAL ENTITY NAME], trading as Nine99, to the purchasing customer (Client). Effective date: [DATE].

We will design and develop the website described in the applicable Order Form, which should identify the website package, number of pages, functionality, integrations, forms, content responsibilities, hosting, maintenance, SEO services, requested launch date and any additional services.

Only services expressly identified in the Order Form are included.

Project start

The production timeline begins after we receive everything reasonably necessary to begin:

  • the full required initial payment
  • the completed onboarding questionnaire
  • logo and branding materials
  • website copy, or enough information to create the agreed copy
  • photographs and other requested media
  • product and service information
  • domain and DNS credentials
  • any other required third-party credentials
  • required approvals

Delivery time

Any advertised delivery period is an estimated production timeline that begins after the project-start requirements are satisfied. A 3-business-day website means we will use commercially reasonable efforts to produce the initial website within 3 business days of receiving everything required to begin.

The delivery clock does not start simply because a purchase has been made, if we are still waiting on materials, access, information or approvals.

Client delays

When we request information or approval, the project timeline pauses until the requested item is received. We are not responsible for missed delivery dates resulting from Client delay.

After a material delay we may move the project to the next reasonably available production position. The revised completion date will depend on our production schedule at that time.

Revisions

Unless the Order Form says otherwise, Client receives two (2) revision rounds. Revision requests should be provided as one consolidated list per round.

A revision refines the approved concept. It is not an opportunity to replace the original scope.

Out-of-scope work

The following may constitute additional, separately billable work:

  • additional pages or a complete redesign
  • additional revision rounds
  • substantial functionality changes or custom application development
  • new integrations
  • e-commerce functionality not originally included
  • membership systems or advanced databases
  • substantial copywriting or new branding
  • custom photography or video
  • additional languages
  • accessibility remediation beyond the contracted scope
  • requests made after final approval

Content

Unless copywriting is expressly included, Client is responsible for supplying final website content. Client represents that it owns or has sufficient permission to use all materials supplied to us.

We may refuse to publish materials we reasonably believe violate law or third-party rights.

Client review before launch

Client is responsible for reviewing the website before launch and verifying all material information, including company name, addresses, telephone numbers, email addresses, pricing, guarantees, promotions, financing statements, product information, disclaimers, legal policies and business claims.

We are not Client legal counsel and do not independently determine industry-specific disclosure obligations unless compliance services are expressly contracted.

Approval and launch

When Client gives final approval, Client authorises us to publish or launch the website. Minor post-launch corrections may be handled under any included maintenance service. New features or a material redesign are additional work.

Fees

All website development fees are payable according to the applicable Order Form. Once production begins, project fees are non-refundable except where otherwise required by law.

Hosting

Where Client receives complimentary hosting for a promotional period, currently 3 months, that period begins as stated in the Order Form.

After the complimentary period, continued hosting may become a paid recurring service at the disclosed rate. Client will be informed of recurring hosting terms before becoming obligated to pay them, as required by applicable law.

Website ownership

After Client pays all website development amounts due, Client owns the final custom website content and custom design created specifically for Client. This excludes our reusable systems and third-party intellectual property, and third-party licences remain subject to their own terms.

Domain names

Unless otherwise agreed, domain names purchased by Client remain Client property. If we purchase or administer a domain on Client behalf, Client is responsible for the applicable registration and renewal fees.

Search rankings

Website development does not guarantee placement or rankings on Google, Bing, AI search systems, maps, local search results or any other search engine, unless a separate service expressly provides otherwise.

Browser and device compatibility

We will use commercially reasonable efforts to support current versions of commonly used modern browsers and responsive mobile devices.

We do not guarantee compatibility with obsolete browsers, unsupported operating systems, unusual device configurations, or technologies released after completion.

Third-party services

We may integrate third-party tools at Client request. We are not responsible for outages, pricing changes, discontinued products, API changes, policy changes, security incidents or functionality changes caused by third parties outside our reasonable control.

Continuing services

Website maintenance, hosting, SEO, marketing, advertising, content creation, social media, AI services and other ongoing services are separate recurring services unless explicitly included. Recurring services are governed by our Terms of Service and our Cancellation, Billing and Refund Policy.
